ZenBusiness vs Northwest Registered Agent: Cost and Refunds

ZenBusiness and Northwest Registered Agent both form an LLC and both can act as its registered agent, the party that receives state mail and legal papers for your business. According to ZenBusiness’s comparison page and two independent reviews, Northwest’s $39 formation fee (plus state fees) includes a first year of agent service, which then renews at $125 a year. One review says Northwest does not publish whether the first agent year is included in that fee. ZenBusiness’s comparison page says its agent service is sold separately at $199 a year. Before you pick either one, check what your state requires for a registered agent and what the state filing fee is, because the state fee is charged either way.

Do you need a registered agent for your LLC?

Venture Smarter says state law requires naming someone as your LLC’s registered agent, and that almost any adult with an in-state address can take that job for free instead of paying a provider. The rules are set by each state, and they are specific. Delaware’s Delaware registered agent list cites 8 Del. C. § 132 and says the agent must maintain a street address and office located in Delaware and be open during normal business hours to accept service of process. The same page says registered agents are not regulated by the State of Delaware.

Northwest explains the job on its own site: when a business gets sued, a process server delivers the summons to the company’s registered agent. In Delaware, the agent must be open during normal business hours to accept service of process (8 Del. C. § 132), so check your own state’s rule.

State rules differ, so check your state’s filing office before you file.

Name rules also vary. The SBA guide to registering your business says each state may have different rules about what your entity name can be and the use of company suffixes. It also says a DBA doesn’t give legal protection, but might be legally required. For the basics of entity types and common mistakes, read small business legal essentials.

Federal beneficial ownership reporting rules have changed recently. You can read the rule on the FinCEN beneficial ownership information page.

ZenBusiness’s homepage lists Pro at $199 plus state fees, renewing at $199 a year, and Premium at $299 plus state fees, renewing at $299 a year. Its comparison page says a registered agent costs $199 a year in any state. Its comparison page also says Northwest’s $39 includes a year of registered agent service, with renewal at $125 a year after that.

Two independent reviews disagree about Northwest’s first year. LLC University and Venture Smarter say the first year is included with the $39 fee. ecommerceparadise says Northwest does not publish whether the first agent year is included, and it charges that year in its own math.

Source and period ZenBusiness Northwest Registered Agent
Venture Smarter, by year three $597 $250
ecommerceparadise, five years (Wyoming example with a $100 state fee; ZenBusiness on its Pro plan) At least $1,294 $764

Of these two, Northwest is the cheaper registered agent after year one: $125 a year against ZenBusiness’s $199. To compare other providers, start with the online legal services guide.

LLC University reports that Northwest says it processes your order the same day you submit it. ZenBusiness’s support FAQ says it gives you an estimated formation date at checkout, and that the state or circumstances outside its control can slow things down.

What is the quickest way to start an LLC?

CreditDonkey lists Northwest within 1 business day, and Venture Smarter lists Northwest’s standard filing at about 3 business days. • ZenBusiness: CreditDonkey lists a 60-day money-back guarantee, and state fees refundable until they are paid to the state. Venture Smarter lists a 60-day money-back guarantee on the formation service.
  • ZenBusiness cancellation: ZenBusiness’s support FAQ says “There are no fees or penalties for canceling your account with us.” To cancel the registered agent service, you need proof from the state that ZenBusiness has been removed as your agent or that the business has been dissolved.
  • Northwest: CreditDonkey lists a 90-day money-back guarantee, with state fees non-refundable. Venture Smarter also lists a 90-day refund window.
  • Northwest refund fee: ZenBusiness’s comparison page says Northwest charges a $25 convenience fee for processing refunds, which Northwest calls a “You changed your mind fee.”

Can I use Northwest as my mailing address?

The agent address receives state and legal mail for your LLC. LLC University says Northwest scans and uploads legal mail sent to your LLC, and you see it in your dashboard. It says ZenBusiness offers the same type of service. Northwest’s homepage lists Address as a separate service from registered agent service. If you want a mailing address for everyday mail, ask Northwest about that service and its price before you use the agent address for it.

Should I use ZenBusiness as my registered agent?

There is no single winner. Venture Smarter rates ZenBusiness 4.6 out of 5 and Northwest 4.8 out of 5 overall. The choice depends on what you value.

ZenBusiness suits you if you want a modern dashboard. Venture Smarter says its built-in assistant, Velo AI, flags missing steps at first login. ZenBusiness’s homepage says Velo guidance is free. Pro and Premium include ongoing compliance filings, and CreditDonkey lists its EIN service at $99 against Northwest’s $50. ZenBusiness’s comparison page says it has 33,104 reviews, while it says Northwest has about 800.

Northwest suits you if you want the lowest renewal price and address privacy included. LLC University says Northwest lets you use its address on state filings to keep your home address off public records, and it includes that for free with registered agent service. Northwest’s homepage says privacy protection is baked into everything it does, and that it offers real human support.

If you would rather be your own agent, Venture Smarter says that is free for almost any adult with an in-state address. Check the state’s rules first, since Delaware requires an in-state office open during business hours.

When is a lawyer worth paying for?

If a trademark is part of your plan, the USPTO guide to hiring a trademark attorney says attorneys can provide crucial legal advice, and the USPTO strongly encourages hiring a U.S.-licensed trademark attorney, though it does not require one for applicants domiciled in the U.S. The USPTO also says it is your legal responsibility to monitor and protect your trademark from infringement, and an attorney can help you understand the legal scope of your rights.

The USPTO requires a U.S.-licensed attorney for foreign-domiciled trademark applicants, registrants, and parties to Trademark Trial and Appeal Board proceedings.

For other questions, such as your LLC’s formation or your state’s rules, a licensed attorney in your state can advise you directly. If cost is the barrier, start with how to find free legal aid.
